Terms of Service

1. What Supasheet does
Supasheet builds and edits spreadsheets from natural-language instructions. You describe a model; the service generates a workbook, and you continue editing it conversationally. You may also upload existing documents (.xlsx, .pptx, .docx, .pdf, .csv, .md) for the service to read and build from.
2. Accounts
You need an account to use the service. You are responsible for keeping your credentials secure and for all activity under your account. An account belongs to an organisation; anyone you invite into your organisation can see that organisation's documents and workbooks. You must provide accurate registration information, and you must be old enough to form a binding contract in your jurisdiction.
3. Credits — how billing actually works
The service is metered in credits. Each action costs a fixed number of credits, charged only when the action completes successfully:

You hold credits in two separate balances, and they behave differently:
- Your monthly plan allowance — included with a paid plan and reset at the start of each billing period. Unused allowance does not carry over.
- Your credit wallet — credits you have purchased in a top-up pack, plus any we grant you. These do roll over and do not expire while your account is open.
Actions draw from your monthly allowance first, and from your wallet only once the allowance is exhausted. When neither balance can cover an action, the action is refused before any work begins — you are never charged for something we did not do.
4. Plans and payment
Paid plans renew automatically each month until cancelled. Prices are in US dollars and exclude any taxes we are required to collect. If a payment fails, we may suspend access to paid features until it is resolved. You can cancel at any time; see the Refund Policy for what happens to your balances.
5. Your content
You own what you upload and what the service produces for you. We claim no ownership over your documents or workbooks. You grant us only the licence needed to operate the service — to store, process, and transmit your content in order to generate output for you, including sending relevant portions to the AI providers described in the Privacy Policy.
You are responsible for having the right to upload what you upload. Do not upload material you are not permitted to share with a third-party processor.
6. AI-generated output — read this one
Workbooks, formulas, figures and analysis produced by this service are generated by AI language models and may be wrong. Models can produce plausible-looking numbers, formulas and structures that are incorrect.
Output is not financial, investment, accounting, tax, or legal advice. This service is a drafting tool. You must independently review and verify every figure and formula before relying on it, and especially before using it in a filing, a transaction, a valuation, or any decision with financial consequences. We do not warrant that output is accurate, complete, or fit for any purpose.
7. Acceptable use
You agree not to:
- break the law, or infringe anyone's rights, using the service;
- attempt to circumvent metering, credit limits, rate limits, or access controls, or to reach another organisation's data;
- probe, scan, or attack the service, or attempt to escape the sandbox in which generation code runs;
- resell or redistribute the service, or use it to build a competing product, without our written permission;
- upload malware, or automate access in a way that degrades the service for others.
We may suspend or terminate an account that does these things, and we may do so without notice where there is an active risk to the service or to other customers.
8. Availability
We provide the service "as is" and do not promise a specific uptime. We may change, suspend, or discontinue features. Where we make a material adverse change to a paid feature, we will give reasonable notice.
9. Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, lost revenue, or lost or inaccurate data — including losses arising from reliance on AI-generated output. Our total aggregate liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.
Nothing here excludes liability that cannot lawfully be excluded, and some jurisdictions do not allow certain exclusions — in which case the above applies only as far as the law permits.
10. Termination
You may stop using the service and close your account at any time. On termination your right to use the service ends; export anything you want to keep before closing your account. Sections 5, 6, 9 and 11 survive.
11. Changes to these terms
We may update these terms. If a change is material we will give notice before it takes effect. Continuing to use the service after a change takes effect means you accept the updated terms.
